Bay Legal Trust Reconciliation — End-User License Agreement

Effective date: October 14, 2026

1. About this agreement

This End-User License Agreement (“Agreement”) governs use of Bay Legal Trust Reconciliation (the “App”), software developed by and for Bay Legal, PC, a California professional corporation (“Bay Legal,” “we” or “us”). The App is a private, internal tool. It is not offered, sold or licensed to anyone outside Bay Legal.

2. License

Bay Legal grants its authorized personnel a limited, non-exclusive, non-transferable, revocable license to use the App solely to carry out Bay Legal’s own business, as described in this Agreement.

3. Authorized users

Only Bay Legal employees and contractors whom Bay Legal has authorized may use the App, and only through accounts the firm provides. Clients, other firms and members of the public may not use the App. A person’s authorization ends automatically when their engagement with Bay Legal ends or the firm withdraws it.

4. Permitted use

The App may be used only to reconcile Bay Legal’s client trust account records: reading the firm’s own QuickBooks Online company with read-only access, comparing those records with the firm’s trust ledgers and bank statements, and reporting differences for review. The App connects only to Bay Legal’s own QuickBooks Online company.

5. Restrictions

Users may not: (a) copy, distribute, sell, sublicense or share the App or its credentials; (b) connect the App to any QuickBooks company other than Bay Legal’s; (c) use the App or its output for any purpose other than Bay Legal’s trust account reconciliation and related record-keeping; (d) attempt to bypass its security controls or its read-only design; or (e) remove notices from it.

6. QuickBooks and Intuit

QuickBooks and QuickBooks Online are trademarks of Intuit Inc. The App is not made, endorsed or supported by Intuit, and Intuit is not a party to this Agreement and has no responsibility for the App. Use of the App with QuickBooks Online is also subject to the terms of Bay Legal’s QuickBooks subscription and Intuit’s terms for developers and connected apps.

7. Data and privacy

How the App accesses, uses, stores and protects QuickBooks data is described in the App’s Privacy Policy at https://baylegal.com/qbo-trust-privacy/, which forms part of this Agreement.

8. Professional responsibility

The App assists with reconciliation; it does not replace professional judgment. Its results must be reviewed by the firm’s bookkeeping staff and the responsible attorney, who remain responsible for the firm’s client trust accounts under the California Rules of Professional Conduct, including Rule 1.15.

9. No warranty

The App is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, Bay Legal is not liable to any user for indirect, incidental, special, consequential or punitive damages, or for loss of data or profits, arising from use of or inability to use the App.

11. Termination

Bay Legal may suspend or end access to the App at any time. The App’s connection to QuickBooks Online can be ended at any time by disconnecting it in QuickBooks Online (Apps / Manage integrations). Sections 5 to 12 survive termination.

12. Governing law

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be heard in the state or federal courts located in Santa Clara County, California.

13. Changes

Bay Legal may update this Agreement. The updated version takes effect when posted on this page, with a new effective date.
